AGREEMENT TO OUR LEGAL TERMS
We are Northwell Property Services, LLC ("Company," "we," "us," or "our"), a company registered in Texas, United States at 4255 Ridgecrest Dr, El Paso Texas 79902.
We operate our website (the “Site”), as well as any related unit-turn, cleaning, grounds-maintenance, property-maintenance, quote-request, scheduling, and related services that refer or link to these legal terms (collectively, the “Services”).

These Terms and Conditions ("Legal Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Northwell Property Services, LLC concerning your access to and use of the Services.
By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Legal Terms. If you do not agree, you must discontinue use immediately.
We reserve the right to update these Legal Terms at any time. Updates will be reflected by revising the “Last Updated” date. Continued use of the Services after changes constitutes acceptance of those changes.
The Services are intended for users 18 years of age or older.

1. OUR SERVICES
Northwell Property Services, LLC provides property-support services for residential, multifamily, commercial, and other properties, as applicable. Our services may include, but are not limited to:
• Unit-turn and make-ready support
• Move-in and move-out cleaning
• Vacant-unit cleaning and preparation
• Common-area and exterior-area cleaning
• Grounds cleanup and upkeep
• Trash, litter, and debris removal
• Property inspections and service-request support
• Minor maintenance or make-ready services, when specifically agreed in writing
• Scheduling, estimates, work-order coordination, and related property-support services
The availability, scope, pricing, timing, service frequency, materials, and deliverables for any service will be identified in an applicable written estimate, proposal, work order, invoice, service agreement, or other written confirmation from Northwell Property Services, LLC.
Services are limited to the scope expressly approved by us in writing. Any services, labor, materials, repairs, remediation, hauling, cleaning level, property areas, or other work not expressly included in the approved scope may be excluded or subject to additional approval and charges.
Unless expressly agreed in writing, our Services do not include:
• Licensed trade work
• Structural repairs
• Electrical, plumbing, HVAC, gas, or roofing work
• Pest control
• Mold remediation
• Asbestos, lead, biohazard, hazardous-material, or trauma-scene cleanup
• Emergency services
Information provided through our Site is for general informational purposes only. Any estimate, service description, availability statement, or other information on the Site is not a binding offer and may be changed or withdrawn before a written service scope is approved.
Our Services do not constitute legal, financial, accounting, tax, engineering, environmental, property-management, or real-estate advice. You are responsible for consulting appropriate qualified professionals before making decisions regarding your property.
2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all website content, branding materials, design elements, text, graphics, photographs, video, audio, templates, and other materials (collectively, the “Content”), as well as trademarks, service marks, and logos (the “Marks”).
The Content and Marks are protected by copyright and trademark laws in the United States and worldwide.
The Content and Marks are provided “AS IS” for your internal business use only.
Your use of our Services
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to:
Access the Services; and
Download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business use.
Except as expressly permitted, you may not copy, reproduce, republish, distribute, sell, license, or exploit any Content or Marks without our prior written permission.

3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) all information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not a minor where you reside; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use will not violate any applicable law or regulation.
4. USER REGISTRATION
You may be required to register to use parts of the Services. You agree to keep your password confidential and are responsible for all use of your account.
5. PURCHASES AND PAYMENT
We may accept payment methods including credit/debit cards, PayPal, ACH, and invoice-based payments as applicable.
You agree to provide current, complete, and accurate purchase and account information. All payments shall be in U.S. dollars.
Unless otherwise stated in a written agreement, all purchases are non-refundable.
6. SUBSCRIPTIONS & RETAINERS
If you purchase a subscription, retainer, or recurring service package, your billing may renew automatically unless canceled in accordance with the terms presented at checkout or in your written service agreement.
Cancellation terms and notice periods (if any) will be stated in your service agreement.
7. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make the Services available. You agree not to:
Misuse the Services for unlawful purposes
Infringe intellectual property rights
Upload malware or attempt to disrupt the Site
Attempt to copy or reverse engineer proprietary materials or methods
Harvest data from the Site without permission
Use our content as part of a competing property-services, cleaning, maintenance, or grounds-services offering
8. USER SUBMISSIONS / CONTRIBUTIONS
If you submit ideas, feedback, testimonials, or other content to us, you grant us permission to use it for lawful business purposes, including marketing, unless you explicitly state in writing that the submission is confidential and we agree in writing.
9. THIRD-PARTY WEBSITES AND CONTENT
The Services may contain links to third-party websites. We do not control and are not responsible for third-party websites, content, or privacy practices.
10. SERVICES MANAGEMENT
We reserve the right to monitor the Services for violations of these Legal Terms and to take appropriate action, including restricting access.
11. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Legal Terms.

12. TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services. We may terminate or suspend access if you violate these Legal Terms or applicable law.

We may change, modify, or remove portions of the Services at any time. We do not guarantee the Services will be available at all times.
14. GOVERNING LAW
These Legal Terms are governed by the laws of the State of Texas.
15. DISPUTE RESOLUTION
The Parties agree to attempt informal resolution for at least ninety (90) days before initiating arbitration or litigation, except where prohibited by law.
Any arbitration or court proceedings (as applicable) will be located in El Paso, Texas, unless otherwise required by law.
16. CORRECTIONS
We reserve the right to correct errors, inaccuracies, or omissions and to update information at any time.
17. DISCLAIMER
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. We make no guarantees regarding the condition of a property, service timing, unit readiness, occupancy, rental income, property value, or results beyond the scope expressly stated in a written service agreement.
18. LIMITATIONS OF LIABILITY
To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, exemplary, special, or punitive damages.
Our total liability to you for any cause whatsoever will be limited to the amount paid by you to us in the six (6) months preceding the event giving rise to the claim.
19. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless from any claims arising out of your use of the Services, violation of these Legal Terms, or infringement of third-party rights.
20. USER DATA
You are responsible for the data you provide. We are not liable for loss or corruption of data beyond what is required by law.
21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
You consent to receive electronic communications and agree electronic signatures and records are legally binding.
22. SMS TEXT MESSAGING Northwell Property Services, LLC Updates, service notifications, and promotional offers.
You can cancel the SMS service at any time. Just text "STOP" to (915) 525-5293. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time, and we will start sending SMS messages to you again. If you are experiencing issues with the messaging program, you can reply with the keyword HELP for more assistance, or you can get help directly at [email protected] or (915) 525-5293. Carriers are not liable for delayed or undelivered messages. As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive up to 4 messages per month. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
